BASIS OF ALLOCATION
Public Offer of 21,000,000 Equity Shares of Rs 10 each at a Price
of 72/- per Equity Share for cash aggregating to Rs 1512 million comprising Fresh
issue of 11,000,000 Equity Shares of the Face Value of Rs .10 each at a Price Rs 72/- per
Equity Share by selling Shareholders for cash aggregating Rs 720 million .The Offer
constitute 28% of the fully diluted Post Offer Paid -Up Capital of Gate Distriparks Ltd.
THE FACE VALUE OF THE EQUITY SHARES IS RS. 10 AND THE ISSUE PRICE
IS 7.2 TIMES OF THE FACE VALUE.
The Offer was made through a 100% Book Building Process wherein upto 50% of the Offer was
to be allocated on a discretionary basis to Qualified Institutional Buyers, not less than
25% of the Offer was to be allocated to Retail Individual Investors on a proportionate
basis, subject to valid bids being received within the Price Band.
GDL recieved 128371 bids for 590598853 equity shares resulting in
28.1237549 times subscription .The details of the applications recieved in the issue from
Retail ,Non institutional and Qualified Institutional categories are as under (before

The Basis of Allocation to the Retail Individual Biders , who hav bid at cut -off or at
issue Price of Rs 72/- per Equty Share, was oversubscribed 9.72106 times. The total number

The Board of Directors of Gateway Distriparks Limited at its Meeting held
at Mumbai on March 24,2005 approved the basis of allocation of shares and allotted
the shares to various successful applicants.
The despatch of Refund Orders has been completed by March 25 2005 to the address of the
investors as registered with the depositories.
The Refund Orders have been printed with the Bank Mandate details as registered , if any,
with the depositories.The shares allocated to the successful applicants have been
credited to their beneficiary accounts subject to validation of the account details with
the depositories concerned.Issuer is taking steps to get the Equity Shares admitted on the
Stock Exchange , Mumbai and on the National Stock Exchange of India Ltd.within seven
working days for the date of approval of the basis of allocation.
