PUBLIC ISSUE OF 79,50,000 EQUITY SHARES OF Rs.5 EACH ISSUED FOR CASH AT A PREMIUM OF Rs.20 PER SHARE AGGREGATING Rs.1987.50 LACS

The Board of Directors of the Four Soft Limited ("Company") thank the investing public for their overwhelming response to the Public Offer of Equity Shares of the Company which opened for subscription on February 16, 2004 and closed on February 23, 2004. The Company has received 29,918 valid applications for a total of 4,81,00,900 shares resulting in over subscription of 6.05 times. The Basis of Allotment was finalized on March 4, 2004 in consultation with the National Stock Exchange of India Limited and the Board of Directors have allotted the shares at their meeting held on March 5, 2004 as per details given below :

a) Net Offer to Indian Public

i) Retail Category (upto Rs. 50,000)

The Company has received 29,255 valid applications for a total of 2,18,05,500 Equity Shares resulting in 5.48 times over subscription in the category. Allotments have been made to the appllications in proportion to the inverse of the subscription ratio, rounded off to the nearest marketable lot of 100 shares and the number of shares allotted is 41,08,500, including 1,33,500 shares additionally allotted due to rounding off. Allotment of Shares upto the category of 400 shares has been made on the basis of draw of lots.

ii) Non-retail Category - Individuals above Rs. 50,000/-, Corporates & Others

The Company has received 663 valid applications for a total of 2,62,95,400 Equity Shares resulting in over subscription of 6.62 times. Allotments have been made to applicants in proportion to the inverse of the subscription ratio, rounded off to the nearest marketable lot of 100 shares and the number of shares allotted is 39,81,800, including 6,800 shares additionally allotted due to rounding off. Details of allotment made under this category are :

Despatch of Refund Orders and electronic credit of shares to the beneficiary account allottees with CDSL/NSDL has been completed by March 8, 2004.

Four Soft Limited has submitted listing applications to National Stock Exchange and Bombay Stock Exchange on March 9, 2004.
