Our Company was originally incorporated on February 2, 2016 as a Private Limited Company as “Phantom Digital Effects Private Limited” vide Registration No. 21-103929 under the provisions of the Companies Act, 2013 with the Registrar of Companies, Tamil Nadu. Subsequently, pursuant to a special resolution of our Shareholders passed in the Extraordinary General Meeting held on July 21, 2022, our Company was converted from a Private Limited Company to Public Limited Company and consequently, the name of our Company was changed to 'Phantom Digital Effects Limited' and a Fresh Certificate of Incorporation consequent to Conversion was issued on July 29, 2022 by the Registrar of Companies, Tamil Nadu. Our Company has filed the Prospectus dated October 18, 2022, (the “Prospectus”) with the Registrar of Companies, Tamil Nadu at Chennai (RoC), and the equity shares (as defined hereinafter) are proposed to be listed on the Emerge platform of National Stock Exchange of India Limited (“NSE”) and the listing and trading of the Equity Shares (as defined hereinafter) expected to commence on October 21, 2022

PUBLIC ISSUE OF 30,63,600 EQUITY SHARES OF FACE VALUE OF Rs 10 EACH (“EQUITY SHARES") OF PHANTOM DIGITAL EFFECTS LIMITED (THE “COMPANY' OR THE “ISSUER”) FOR CASH AT A PRICE OF Rs 95.00 PER EQUITY (THE “ISSUE PRICE”) AGGREGATING TO Rs 2,910.42 LAKH (“THE ISSUE”) COMPRISING OF A FRESH ISSUE OF 26,40,000 EQUITY SHARES AGGREGATING TO Rs 2,508.00 LAKH (THE “FRESH ISSUE”) AND AN OFFER FOR SALE OF 4,23,600 EQUITY SHARES BY THE SELLING SHAREHOLDERS (“OFFER FOR SALE”) AGGREGATING TO Rs 402.42 LAKH OF WHICH 153,600 EQUITY SHARES AGGREGATING TO Rs 145.92 LAKH WILL BE RESERVED FOR SUBSCRIPTION BY MARKET MAKER TO THE ISSUE (THE “MARKET MAKER RESERVATION PORTION”). a) The Merchant Banker associated with the Issue has handled 4 (Four) Public Issues in the past three years out of which 1 (One) of the Issue closed below the Issue Price on Listing date.
b) Average cost of acquisition of Equity Shares for the Promoters ranges from Rs. 0.001 and the Issue Price at the upper and of the Price Band is Rs. 95 per Equity Share.
c) Weighted Average Return on Net worth for Fiscals 2022, 2021 and 2020 is 60.50%

The Issue is being made through the Book Building Process, in terms of Rule 19(2)(b)(i) of the Securities Contracts (Regulation) Rules, 1957, as amended (“SCRR”) read with Regulation 253 of the SEBI ICDR Regulations, as amended, wherein not more than 50 % of the Net Issue shall be allocated on a proportionate basis to Qualified Institutional Buyers ("QIBs", the "QIB Portion”), provided that our Company may, in consultation with the Book Running Lead Managers, allocate up to 60% of the QIB Portion to Anchor Investors on a discretionary basis in accordance with the SEBI ICDR Regulations ("Anchor Investor Portion"), of which one-third shall be reserved for domestic Mutual Funds, subject to valid Bids being received from domestic Mutual Funds at or above the Anchor Investor Allocation Price. In the event of under subscription, or non-allocation in the Anchor Investor Portion, the balance Equity Shares shall be added to the Net QIB Portion. Further, 5% of the Net QIB Portion shall be available for allocation on a proportionate basis only to Mutual Funds, and the remainder of the Net QIB Portion shall be available for allocation on a proportionate basis to all QIBs, including Mutual Funds, subject to valid Bids being received at or above the Issue Price. However, if the aggregate demand from Mutual Funds is less than 5% of the Net QIB Portion, the balance Equity Shares available for allocation in the Mutual Fund Portion will be added to the remaining Net QIB Portion for proportionate allocation to QIBs. Further, not less than 15% of the Net Offer shall be available for allocation on a proportionate basis to Non-lnstitutional Bidders and not less than 35% of the Net Offer shall be available for allocation to Retail Individual Bidders in accordance with the SEBI ICDR Regulations, subject to valid Bids being received at or above the Issue Price. All potential Bidders (except Anchor Investors) are required to mandatorily utilize the Application Supported by Blocked Amount ("ASBA") process providing details of their respective ASBA accounts, and UPI ID in case of RIBs using the UPI Mechanism, if applicable, in which the corresponding Bid Amounts will be blocked by the SCSBs or by the Sponsor Bank under the UPI Mechanism, as the case may be, to the extent of respective Bid Amounts. Anchor Investors are not permitted to participate in the Issue through the ASBA process. For details, see "Issue Procedure” beginning on page 190 of the Prospectus.
The bidding for Anchor Investors Opened and Closes on Tuesday, October 11, 2022. The Bank received 2 applications from 2 anchor investors for 9,70,800 equity shares. The Anchor investor price was finalized at Rs. 95/- per Equity Share. A total of 865,200 equity shares allocated under Anchor Investor Portion aggregating Rs. 8,21,94,000.

Allotment to QIBs, who have bid at the Issue Price of Rs. 95/- per Equity Share has been done on a proportionate basis in consultation with NSE. This category has been subscribed to the extent of 32.44 times of QIB portion. The Board of Director of our Company at its meeting held on October 19, 2022 has taken on record the basis of allotment of Equity Shares approved by the Designated Stock Exchange, being NSE and has allotted the Equity Shares to various successful applicants. The Allotment Advice Cum Refund Intimation will be emailed or dispatched to the email id or to the address of the investors as registered with the depositories. Further, instructions to the SCSBs have been issued for unblocking of funds and transfer to the Public Issue Account on October 20, 2022.The Equity Shares allotted to the successful allottees have been uploaded on October 20,2022 for credit into the respective beneficiary accounts subject to validation of the account details with the depositories concerned. The Company is in the process of obtaining the listing and trading approval from NSE and the trading of the Equity Shares is expected to commence on October21, 2022.
