Mumbai, bearing CM U93090MH2010PTC206120 Further, our company changed its name from "Venturenet Partners Limited" to "Radiovralla Network private Limited" under Section 21 of Companies Act. 2013 and new certificate of Incorporation v/as issued by Registrar of Companies. Stumbai dated April 04,2012. Furthermore, our company was converted into a Public Limited Company in pursuance of a special resolution passed by the members of our Company at the Extra Ordinary General Meeting held on November 09, 2023 and the name of our Company changed from "Radiovralla Netmdr Pnvate Limited" to " RADIOWALLA NETWORK LIMITED " and Registrar of Companies. Mumbai has issued a new certificate of incorporation consequent upon conws'on dated December 18. 2023. bearing CM U93G90MH2010PIC206120 Thereafter, the shareholders by passing a special resolution in the Extra ordinary General Meetings held on June 29, 2023 has approved the shifting of registered office of the company from the state of Maharashtra to the state of Karnataka and the order from the regional director. Western Region was received on Noivmber 16. 2023 pursuant to which INC-22 has been tHed by the company and a new Certificate of Incorporation has been issued by Registrar of Companies, Bangalore, bearing CIN: U93090KA2010PLC183658

Our Company has filed the Prospectus dated April 03,2024. (the "Prospectus") with the Registrar of Companies, Bangalore (RoC), and the equity shares (as defined hereinafter) are proposed to be listed on the Emerge platform of National Stock Exchange of India Limited ("NSE") and the listing and trading of the Equity Shares (a defined hereinafter) expected to commence on April 05, 2024.

INITIAL PUBLIC OFFERING OF UP TO 18.75,200 EQUITY SHARES OF RS. 10/-- EACH ( "EQUITY SHARES ') OF RADIOWALLA NETWORK LIMITED ("RNL" OR THE COMPANY") FOR CASH AT A PRICE OF RS. 76/- PER EQUITY SHARE (THE "ISSUE PRICE"). AGGREGATING TO RS. 1.425.15 LAKHS ( THE ISSUE"). OUT OF THE ISSUE, 1.12.000 EQITY SHARES AGGREGATING TO RS. 85.12 LAKHS WILL BE RESERVEO FOR SUBSCRIPTION BY MARKET MAKER ("MARKET MAKER RESERVATION PORTION"). THE ISSUE LESS THE MARKET MAKER RESERVATION PORTION I.E. ISSUE OF 17.63,200 EQUITY SHARES OF FACE VALUE OF RS. 10/- EACH AT AN ISSUE PRICE OF RS. 76/- PER EQUITY SHARE AGGREGATING TO RS. 1.340.03 LAKHS IS HEREINAFTER REFERED TO AS THE "NET ISSUE". The Issue is being mate through the Book Building Process in terms of Rule 19(2)(b) of the Securities Contracts (Regulation) Rules. 1957 as amended ("SCRR") read with Regulation 229 of the SEBI ICDR Regulations and m compliance with Regulation 253 of SEBI (ICDR) Regulations, wherein not more than 50.00% of the Net Issue was made available for allocation on a proportionate basis to QIBs ( QIB Portion'). Further, not less than 15 00% of net issue was mate available for allocation on proportionate basis to Non- Institutional investors and not less than 35.00% of the Net Issue was made available for allocation to Retail Individual Bidders, in accordance with SEBI ICDR Regulations, subject to valid bids being received at the issue price. All potential Bidders are required to mandatory utilize the Application Supported by Blocked Amount ("ASBA') process providing details of their respective ASBA accounts, and UPI ID in case of RIBs using the UPI Mechanism, if applicable, in which the corresponding Bid Amounts wi be blocked by the SCSBs or by the Sponsor Bank under the UPI Mechanism, as the case may be. to the extent of respective Bid Amounts. Anchor Investors are not permitted to participate in the Issue through the ASBA process For details, see "Issue Procedure" beginning on page 384 of this Prospectus.
The Equity Shares offered through the Prospectus are proposed to be listed on Emerge Platform of NSE ("NSE Emerge") in terms of Chapter K of the Securities and Exchange Board of India (Issue of Capital And Disclosure Requirements) Regulations. 2018 (the "SEBI (KDR) regulations"), as amended read with rule 19(2)(b) of the Securities Contracts (Regulation) Rules, 1957, as amended. Our company has received In Principle approval letter dated March 18. 2024. from National Stock Exchange ot India Limited ("NSE*) for using its name in the Other Document for listing of our shares on Emerge Platform of NSE. It is to be distinctively understood that the permission given by National Stock Exchange of India Limited ('NSE' ) should not in any way be deemed o' construed that the content of the Prospectus or the price at which equity shares are offered has been cleared, solicited or approved by NSE. nor does it certify the correctness, accuracy or completeness of any of the content of the Prospectus. AH Applicants were allowed to participate in the issue through APPLICATION SUPPORTED BY 8L0CKED AMOUNT ("ASBA") process by providing the delays of the respective bank accounts in which the corresponding application amounts were blocked by Self Certified Syndicate Banks the "SCSBs") or through UPI Mechanism SUBSCRIPTION DETAILS
The Company received 03 Anchor Investor Application Forms from 03 Anchor Investors for 7.92,000 Equity Shares. Such 03 Anchor Investors through 03 Anchor Investor Application Forms were allocated 5,26,400 Equity Shares at a price of Rs. 76/- per Equity Share under the Anchor Investor Portion, aggregating to Rs. 4,00,06,400/-.
